SignalBench LLC - Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of SignalBench and related services operated by SignalBench LLC ("Company," "we," "us," or "our").

By creating an account, accessing, or using SignalBench, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Description of Service

SignalBench is a candidate-side career decision and execution platform designed to support high-stakes professional transitions. The system provides structured analytical tools, signal interpretation, memory-enabled workflow support, and AI-assisted outputs.

SignalBench does not provide legal, financial, tax, psychological, medical, or employment placement services. No attorney-client, therapist-client, recruiter-client, fiduciary, or similar professional relationship is created by your use of the service.

2. Eligibility

You must be at least 18 years old to use SignalBench. By using the service, you represent that you meet this requirement and have the authority to enter into these Terms.

3. Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity under your account
• Providing accurate and truthful information

You may not share your account credentials or permit others to access the service through your account. SignalBench is designed for a single-user analytical workflow. Account sharing will compromise data integrity, cause profile contamination, and result in inaccurate system outputs. Violation of this provision may result in suspension or termination of your account.

4. Intellectual Property Ownership

All content, software, architecture, text, graphics, workflows, system design, methodologies, signal frameworks, and related materials comprising SignalBench, excluding User Content as defined below, are the exclusive property of SignalBench LLC and are protected by copyright, trade secret, and other applicable intellectual property laws.

Except for your limited right to use the service for personal, non-commercial purposes, no rights are granted to you.

5. Prohibited Conduct

You agree not to:

(a) Reverse Engineering

• Reverse engineer, decompile, disassemble, decode, or attempt to derive the source code, architecture, signal logic, workflows, or internal methodologies of SignalBench.

(b) Redistribution

• Copy, reproduce, distribute, publish, display, sublicense, lease, sell, or otherwise redistribute any part of the service without written permission.

(c) Scraping or Automated Extraction

• Use bots, crawlers, scraping tools, or automated systems to extract data, content, outputs, prompts, or system behavior patterns.

(d) Derivative Product Development

• Develop, assist in developing, or provide input to any competing product or service that reproduces or attempts to replicate the structure, methodologies, signal frameworks, or workflow design of SignalBench.

(e) Circumvention

• Attempt to bypass access controls, rate limits, authentication systems, or security measures.

(f) Unauthorized or Unlawful Content

Upload, submit, or use content that:

• You do not have the right to use or disclose
• Infringes another party's intellectual property or confidentiality rights
• Includes prohibited sensitive information such as IDs, SSNs, financial account information, or medical records not required for the service
• Is unlawful, fraudulent, deceptive, abusive, harassing, or intended to impersonate another person

Violation of this section may result in immediate account termination and legal action.

6. User Content

You may submit content through the service, including resumes, job descriptions, prompts, messages, notes, files, interview materials, and other materials ("User Content").

By submitting User Content, you grant SignalBench LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, analyze, summarize, and otherwise use that User Content solely to provide, maintain, secure, support, and improve the service.

You represent and warrant that:

• You have the right to upload, submit, and use such User Content
• Your User Content does not violate any law, contract, confidentiality obligation, or third-party right
• Your User Content does not include prohibited sensitive information except to the limited extent necessary for the service and permitted by our policies

SignalBench may create and retain summaries, structured fields, metadata, derived insights, and related workflow artifacts from User Content as part of operating the service.

7. Service Providers and AI Processing

SignalBench may use third-party service providers, including providers for hosting, authentication, storage, communications, analytics, and AI processing, to operate the service.

By using SignalBench, you authorize SignalBench to transmit, process, and store User Content with such service providers as reasonably necessary to provide, maintain, support, secure, and improve the service.

As of the Last Updated date of these Terms, OpenAI states that data sent through its business offerings and API platform is not used to train or improve its models by default unless the customer explicitly opts in.

8. Feedback & Suggestions

If you submit suggestions, ideas, enhancement requests, feedback, or other proposals ("Feedback"), you grant SignalBench LLC a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, copy, modify, distribute, and otherwise exploit that Feedback for any purpose without restriction, attribution, or compensation to you.

9. AI-Assisted Outputs; No Guarantee

SignalBench may generate AI-assisted analyses, recommendations, summaries, and draft outputs. These outputs may be incomplete, inaccurate, or inappropriate for a particular situation and may reflect the quality or completeness of the User Content you provide.

You are solely responsible for reviewing and evaluating all outputs before relying on them in any professional, employment, career, financial, legal, or personal decision.

SignalBench does not guarantee:

• Job interviews
• Offers of employment
• Compensation outcomes
• Career advancement
• Accuracy, completeness, or suitability of any output

All career decisions remain your responsibility.

10. Monitoring, Security, and Enforcement

We may monitor use of the service, including use patterns and submitted content, as reasonably necessary to operate the service, enforce these Terms, detect abuse or misuse, maintain security, provide support, and improve reliability and user experience.

Access to submitted content is intended to be role-based and limited to authorized personnel for legitimate business purposes.

11. Limitation of Liability

To the maximum extent permitted by law:

SignalBench LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:

• Loss of employment opportunity
• Loss of income
• Reputational harm
• Emotional distress
• Business interruption
• Loss of data

In no event shall the total liability of SignalBench LLC exceed the greater of:

• The amount you paid to the Company in the preceding twelve (12) months, or
• One hundred U.S. dollars ($100)

12. Disclaimer of Warranties

SignalBench is provided "as is" and "as available." SignalBench LLC makes no warranties, express or implied, including but not limited to:

• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of outputs
• Uninterrupted or error-free operation
• Availability, security, or reliability of beta or experimental features

You use the service at your own risk.

13. Beta / Experimental Features

Certain features may be offered in beta, preview, or experimental form. Such features may change, malfunction, or be discontinued at any time without notice and may be subject to additional limitations.

14. Termination

SignalBench LLC may suspend or terminate your access at any time for:

• Violation of these Terms
• Abuse of the platform
• Attempted IP extraction
• Security risk
• Misuse of User Content or service outputs

Upon termination, your right to access the service will cease immediately. Any prepaid or remaining subscription fees applicable to the then-current billing period shall be non-refundable and will not be prorated.

15. Subscription, Billing & Cancellation

SignalBench may be offered on a subscription basis. By purchasing a subscription, you agree to the pricing and billing terms presented at the time of purchase.

Subscriptions renew automatically unless cancelled prior to the renewal date.

You may cancel your subscription at any time. Upon cancellation:

• Your account will remain active until the end of the current billing cycle
• Access will terminate automatically at the conclusion of that billing period
• No refunds or prorated credits will be provided for unused time

All fees are non-refundable except where required by applicable law.

16. Modifications to Terms

SignalBench LLC may update these Terms periodically. Updated Terms will be posted with a revised "Last Updated" date. If we make material changes, we may also provide additional notice. Continued use of the service after changes become effective constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Scott County, Minnesota.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and SignalBench LLC regarding SignalBench and supersede any prior agreements or understandings.
